Agreement to Terms

By accessing or using TallyCrew, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

1. Introduction & Acceptance

Welcome to TallyCrew. These Terms of Service ("Terms") govern your access to and use of the TallyCrew website (tallycrew.com) and mobile application (collectively, the "Service").

TallyCrew is operated by TallyCrew ("we," "us," or "our"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

For the purposes of these Terms:

  • "Service" refers to the TallyCrew website and mobile application
  • "User," "you," or "your" refers to the individual or entity using the Service
  • "Account" refers to your registered user account on TallyCrew
  • "Content" refers to any data, text, information, or materials you submit or create
  • "Group" refers to a collection of users sharing expenses
  • "Expense" refers to a financial transaction recorded in the Service

3. Service Description

TallyCrew is an expense splitting and debt tracking application that helps users:

  • Track and split shared expenses with friends and groups
  • Calculate who owes whom and by how much
  • Manage one-on-one debts outside of groups
  • Simplify and consolidate debts automatically
  • Facilitate payments through third-party services (PayPal)
  • Maintain transaction history and records

Free MVP Service

TallyCrew is currently offered as a free MVP (Minimum Viable Product). All core features are available at no cost. Premium features with advanced capabilities may be introduced in the future.

Important: TallyCrew is a tracking and calculation tool only. We do not process payments, hold funds, or act as a financial institution. Actual payment transactions occur through third-party services like PayPal.

4. User Accounts

4.1 Account Creation

To use TallyCrew, you must:

  • Be at least 13 years of age (or 16 in the EU, or the minimum age in your jurisdiction)
  • Provide accurate and complete registration information
  • Maintain and update your information to keep it accurate
  • Create only one account per person
  • Not share your account credentials with others

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

We are not liable for any loss or damage arising from your failure to maintain account security.

4.3 Account Termination

You may delete your account at any time through the app settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities.

5. Acceptable Use

5.1 Permitted Uses

You may use TallyCrew to:

  • Track and split legitimate shared expenses
  • Manage debts with friends and groups
  • Maintain personal financial records
  • Facilitate payments through integrated services

5.2 Prohibited Activities

You may NOT use TallyCrew to:

  • Engage in fraudulent, illegal, or deceptive activities
  • Harass, abuse, or harm other users
  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without permission
  • Reverse engineer, decompile, or disassemble the Service
  • Upload viruses, malware, or malicious code
  • Impersonate others or misrepresent your identity
  • Use the Service for money laundering or illegal financial activities
  • Collect or harvest user information without consent
  • Create fake expenses or manipulate debt calculations

5.3 Consequences of Violations

Violation of these Terms may result in:

  • Immediate suspension or termination of your account
  • Removal of your content
  • Legal action if required
  • Reporting to law enforcement if illegal activity is suspected

6. Expense Tracking & Financial Records

Important Disclaimer

TallyCrew is a tracking and calculation tool, not a payment processor or financial institution.

You acknowledge and agree that:

  • TallyCrew only tracks and calculates expenses; it does not process actual payments
  • You are responsible for making actual payments to settle debts
  • TallyCrew cannot guarantee that debts will be paid or collected
  • You are responsible for the accuracy of all information you enter
  • TallyCrew is not liable for disputes between users regarding expenses or debts
  • Expense records in TallyCrew are for informational purposes only
  • TallyCrew does not provide financial, legal, or tax advice
  • You should maintain your own records for tax and legal purposes

Dispute Resolution: If you have a dispute with another user regarding expenses or debts, you must resolve it directly with that user. TallyCrew is not responsible for mediating or resolving user disputes.

7. PayPal Integration

TallyCrew integrates with PayPal to facilitate payments between users. This integration is optional and provided for your convenience.

You acknowledge that:

  • PayPal is a third-party service independent of TallyCrew
  • PayPal's Terms of Service and Privacy Policy apply to all PayPal transactions
  • TallyCrew does not process, hold, or have access to your PayPal funds
  • TallyCrew is not responsible for PayPal transaction failures or disputes
  • You must comply with PayPal's terms and policies when using their service
  • TallyCrew only provides a link to initiate PayPal payments

No Liability: We are not liable for any issues, disputes, or losses arising from your use of PayPal or any other third-party payment service.

8. Intellectual Property

8.1 TallyCrew's Rights

The Service, including its design, features, functionality, code, and content (excluding user-generated content), is owned by TallyCrew and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

8.2 Your Content

You retain ownership of all content you create or submit to TallyCrew (expense descriptions, group names, notes, etc.).

By using the Service, you grant TallyCrew a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for the purpose of providing and improving the Service.

8.3 Trademarks

"TallyCrew" and related logos are trademarks of TallyCrew. You may not use these trademarks without our prior written permission.

9. Privacy & Data

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • Your data is stored securely using industry-standard encryption
  • We do not sell or share your data with third parties for marketing

10. Disclaimer of Warranties

IMPORTANT LEGAL NOTICE

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, TallyCrew disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties of uninterrupted or error-free service
  • Warranties regarding security or data protection

We do not warrant that:

  • The Service will meet your requirements or expectations
  • The Service will be available at all times or without interruptions
  • Calculations or data will be accurate or error-free
  • Defects or errors will be corrected
  • The Service is free from viruses or harmful components

MVP Disclaimer: TallyCrew is currently in MVP (Minimum Viable Product) stage. Features may change, and the Service may contain bugs or errors. We are continuously improving the Service but make no guarantees about future features or functionality.

11. Limitation of Liability

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, CREWPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TallyCrew is not liable for:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Disputes between users regarding expenses or debts
  • Unpaid debts or uncollected amounts
  • Errors or inaccuracies in calculations or records
  • Unauthorized access to your account
  • Service interruptions or downtime
  • Actions or omissions of third-party services (PayPal, Supabase, etc.)
  • Any damages arising from your use or inability to use the Service

Maximum Liability: In no event shall TallyCrew's total liability to you for all damages, losses, and causes of action exceed the amount you paid to TallyCrew in the 12 months preceding the claim (currently $0 for free users).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless TallyCrew, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations
  • Your content or any content submitted through your account
  • Disputes with other users
  • Any fraudulent or illegal activities conducted through your account

This indemnification obligation will survive the termination of these Terms and your use of the Service.

13. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason.

We may:

  • Add, remove, or modify features
  • Change pricing or introduce paid features
  • Impose limits on certain features
  • Temporarily suspend the Service for maintenance
  • Permanently discontinue the Service

For material changes that negatively affect your use of the Service, we will provide reasonable notice when feasible. However, we are not liable for any modification, suspension, or discontinuation of the Service.

14. Modifications to Terms

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or other factors.

When we update these Terms:

  • We will update the "Last updated" date at the top of this page
  • For material changes, we will notify you through the app or by email
  • We will provide a reasonable notice period before changes take effect
  • Continued use of the Service after changes constitutes acceptance

If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

15.2 Termination by TallyCrew

We may suspend or terminate your account immediately, without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Your account is inactive for an extended period
  • We are required to do so by law
  • We discontinue the Service

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • Your account and data will be deleted
  • You remain liable for any obligations incurred before termination
  • Sections of these Terms that should survive will remain in effect

15.4 Survival

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

16. Dispute Resolution

16.1 Informal Resolution

If you have a dispute with TallyCrew, please contact us first at support@confirm.tallycrew.com to attempt to resolve the issue informally. We will work in good faith to resolve disputes amicably.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions.

16.3 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of Luxembourg, and you consent to the jurisdiction of such courts.

16.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and TallyCrew regarding the Service.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

17.6 Third-Party Services

The Service may contain links to or integrate with third-party services (PayPal, Supabase, etc.). We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.

17.7 Export Controls

You agree to comply with all applicable export and import control laws and regulations in your use of the Service.
